These Terms govern your use of Pricebook.vet, an online tool that helps UK veterinary practices create, manage, and publish price lists that comply with the Competition and Markets Authority's (CMA) 2026 pricing-transparency requirements.
Please read them carefully. They are deliberately written in plain English because we want you - a practice owner, manager, or nominated admin - to actually understand what you are agreeing to.
#1. Who you are contracting with

In these Terms:
- "Pricebook.vet" or "the Service" means the Pricebook.vet platform operated by Helpsome Limited (trading as Helpsome.ai), including the dashboard at
pricebook.vet, any embeddable widgets, APIs, and associated services. - "Helpsome", "we", "us", "our" means Helpsome Limited, trading as Helpsome.ai.
- "You" or "Practice" means the veterinary practice (or other organisation) that has opened an account with Pricebook.vet, and any individual user you authorise to access it.
- "Your Data" means everything you upload, enter, or generate in Pricebook.vet: account details, branch details, pricing data, internal notes, drafts, domain whitelists, and audit history.
- "Published Data" means pricing data that you have explicitly chosen to publish to a live price list. This is the data that is served by the widget on your whitelisted domains and made available as structured JSON-LD for search engines and other consumers of public pricing data.
- "Drafts" means Your Data that has not been published: in-progress price lists, internal notes, archived versions that were never live.
#2. Affiliation disclosure - Nightingale Vets
Pricebook.vet is built by Helpsome Limited. Herskind Limited ta Nightingale Vets is an affiliated veterinary practice from which the idea for Pricebook.vet originated. They receive no preferential treatment in the product. They pay the same (i.e. nothing, for the base product) and appear under the same rules as every other practice.
#3. What the base product is
The base product is the ability to create, manage, and publish a CMA-compliant price list, subject to fair use. That is a purpose-scoped promise, not a list of specific features: if a feature exists primarily so that a UK veterinary practice can meet the CMA's 2026 transparency rules using Pricebook.vet, it is part of the base product and it is free.
Examples (non-exhaustive) of what the base product includes:
- Creating and managing pricing data across the CMA-mandated categories
- Creating and managing branches within one practice
- Publishing one or more price lists to whitelisted domains via our embed widget
- Accessing version history sufficient to demonstrate CMA compliance
- Basic analytics about widget loads (no personal data about viewers)
#4. Free forever
The base product is free. We will not charge you for it, and we will not move existing base-product features behind a paywall. That commitment stands for as long as Helpsome Limited continues to operate Pricebook.vet, subject only to the following:
- Legal compulsion. A court order, regulatory direction, or change in law that makes it unlawful or impracticable for us to provide the base product without charge.
- Insolvency or cessation. If Helpsome Limited enters administration, liquidation, or otherwise ceases to trade, the commitment ends with the business. In that event we will, where practicable, give reasonable notice and provide a route to export Your Data (see section 13).
- Successor terms. If Pricebook.vet is transferred to a successor operator (see section 17, Assignment), the successor is bound by this commitment for at least 12 months from the date of transfer. After that period the successor may amend these Terms in the usual way (see section 5), but may not retrospectively charge for use that occurred while the commitment was in force.
We may, in the future, offer paid add-ons - for example, multi-site reporting, high-volume embed tiers, or integrations. Paid add-ons are optional; you do not need them to meet CMA obligations using Pricebook.vet.
#Service discontinuation for commercial reasons
If continuing to provide Pricebook.vet ceases to be commercially sustainable for Helpsome Limited, we may discontinue the Service. In any such case we will:
- give not less than 90 days' prior written notice by email and in-app;
- ensure that Your Data remains exportable in accordance with section 13 throughout the notice period; and
- release the Pricebook.vet source code under an open-source licence, so that the community has the option to continue operating the tool independently.
#5. Changes to the Service
Software changes. We reserve the right to add, change, or remove features with reasonable notice. Specifically:
- Non-material changes (bug fixes, UI improvements, performance work, adding new optional features): we may make these at any time without notice.
- Material changes that reduce the functionality of the base product for you: we will give you reasonable prior notice (by email and in-app) and, where relevant, provide a route to export Your Data before the change takes effect.
- Paid add-on changes are governed by the specific terms of that add-on.
Changes to the Terms themselves: we will publish an updated version here with a new "last updated" date. If the changes are material, we will tell you by email or in-app and give you a chance to review before they take effect. Continued use after the effective date means you accept the changes.
#6. Your account and your users
- You must be at least 18 and authorised to bind your practice to these Terms.
- You are responsible for the users you invite into your account (owners, admins, editors), for their actions, and for keeping their credentials secure.
- You must give us accurate information about your practice (name, address, ownership disclosure, branch details). The CMA's rules require practices to disclose ownership (independent vs corporate group), and Pricebook.vet surfaces that disclosure publicly - inaccurate information defeats the purpose of the tool.
- You must tell us promptly about any unauthorised access to your account.
#7. Your Data - how we use it
#7.1 We do not own Your Data
You own Your Data. We get a limited licence to host, process, and display it so that we can operate Pricebook.vet for you.
#7.2 Data licence - Published Data
When you publish a price list, you grant Helpsome a non-exclusive, royalty-free, worldwide licence to use the Published Data for the following purposes:
- Serving the Published Data to visitors through the Pricebook.vet embed widget on your whitelisted domains.
- Making the Published Data available as structured JSON-LD (and equivalent machine-readable formats) so that search engines and other consumers of public pricing data can index it - this is the mechanism by which a CMA-compliant price list becomes usefully discoverable.
- Operating, promoting, and improving Pricebook.vet itself (for example, using a published example in product screenshots or marketing material with your practice name and brand visible - never using draft or unpublished data for this).
This licence continues for as long as you leave the data published. If you unpublish or delete a price list, we will stop using that data within a reasonable period.
#7.3 Drafts and internal data
Drafts, internal notes, unpublished versions, and any data you have not explicitly published are never used for any other purpose beyond operating the Service for you. This is a hard rule and it is why the "publish" action matters.
#7.4 Analytics and telemetry
On pricebook.vet and app.pricebook.vet we use Google Analytics 4 to understand how the product is used (pages viewed in the dashboard, errors, publish events). It is loaded only after you consent via our cookie banner; if you decline, it is not loaded and no analytics cookies are set. We never pass personal identifiers into analytics events. The specific cookies, retention, and international-transfer mechanism are listed in the Cookie Policy §3.2 and the Privacy Policy.
The embed widget served to practice websites is a separate case: it does not load Google Analytics or any other third-party script, and it does not set cookies on pet-owner devices. It fires one first-party beacon to our own ingestion endpoint per render. This is covered in §7.3 above and in the Cookie Policy §3.3.
#7.5 AI training and your data
Foundation models trained on the open web. Once you publish a price list, the data is public and served as structured JSON-LD - that is the point of the CMA's transparency requirement. Foundation-model providers (for example Google, OpenAI, Anthropic) and other commercial web-scrapers routinely ingest publicly available data of this kind into their training corpora. We have no control over what third parties do with data you have made public, and neither do you once it is on the internet. Publishing a CMA-compliant price list means accepting that it will be read by machines as well as people.
Our own use of Published Data for model training. We may train, fine-tune, and evaluate machine-learning models on Published Data (current and historically published). Models trained on this data will be used only by Helpsome.ai to operate Pricebook.vet and adjacent services. We do not sell or license these models or the training data to third parties.
Drafts and internal notes are excluded. The rule in §7.3 still applies: drafts, internal notes, unpublished versions, and any data you have not explicitly published are never used to train or fine-tune models.
#8. Acceptable use and fair use
Your use of Pricebook.vet must comply with:
- The Acceptable Use Policy (what you must not do).
- The Fair-Use Policy (how much is reasonable for a working practice).
Breach of either may lead to suspension or termination under section 12.
#9. Service levels
The base product is free, and we do not offer a paid SLA at the free tier. We will use reasonable commercial efforts to keep the Service available and running well, but:
- We do not guarantee any specific uptime percentage at the free tier.
- The published data is served from a our CDN (AWS CloudFront) and is designed to continue working for pet owners even if the dashboard is temporarily unavailable.
- Scheduled maintenance will be announced in advance where reasonably possible.
Paid add-ons may include specific service-level commitments in their own terms.
#10. Security
We take reasonable technical and organisational measures to protect Your Data, including encryption in transit (TLS), encryption at rest for the database and stored files, access controls for our team on a least-privilege basis, audit logging, and regular dependency and security reviews.
For B2B customers who require a formal Data Processing Agreement, one is available on request by emailing privacy@helpsome.ai.
#11. Intellectual property
- Helpsome owns all rights in Pricebook.vet itself - the software, designs, trade marks (including "Pricebook.vet" and the Pricebook.vet logo), and documentation.
- You own Your Data, subject to the licence in section 7.2.
- You must not copy, decompile, or resell the Service, or scrape Pricebook.vet in a way that is inconsistent with Acceptable Use.
#12. Suspension and termination
#12.1 Termination by you
You can stop using Pricebook.vet at any time. To close your account, use the in-app option or email support@helpsome.ai. On closure, we will provide a data export of Your Data (see section 13) and delete your account within a reasonable period, subject to any data we are legally required to retain.
#12.2 Termination or suspension by us
We may suspend or terminate your account if:
- You materially breach these Terms, the Acceptable Use Policy, or the Fair-Use Policy and fail to fix it within a reasonable period after we ask.
- We are required to by law, by a regulator (including the CMA), or by court order.
- Your account has been inactive for an extended period.
- We discontinue the Service. If we do, we will give you reasonable notice (suggested minimum 90 days) and a route to export Your Data.
#12.3 Effect of termination
On termination, your right to use the Service ends. We will retain Your Data for a short window (suggested 30 days) to allow for export, then delete it, subject to any legally required retention (for example, financial records).
#13. Data export
At any time while your account is active, and for a reasonable period after termination, you can export Your Data in a machine-readable format (JSON and/or CSV). Exports include pricing data, branches, whitelists, users, and audit history.
#14. Warranties and liability
#14.1 Our warranties
We provide the Service on an "as is" basis and do not give any warranties beyond those required by UK consumer law (which, for B2B customers, is limited).
Pricebook.vet is a tool that helps you comply with the CMA's transparency rules. It is not legal advice and does not guarantee compliance - you remain responsible for the accuracy of the pricing data you publish and for meeting your own regulatory obligations, including those under the RCVS Code of Professional Conduct.
#14.2 Your warranties
You warrant that:
- You have the right to publish the pricing data you upload.
- The pricing data is accurate, not misleading, and complies with the CMA's rules and other applicable law.
- You control the domains you whitelist for the embed widget.
#14.3 Liability cap
Free products and services. To the maximum extent permitted by law, Helpsome accepts no liability arising out of or in connection with any part of the Service provided free of charge (including the base product). You use free features entirely at your own risk.
Paid add-ons. Where you pay for an add-on or premium feature, Helpsome's total aggregate liability to you arising out of or in connection with that add-on is limited to the total fees you actually paid for it in the 12 months immediately preceding the event giving rise to the claim (i.e. 1x the annual fee for that add-on).
Nothing in these Terms limits liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation;
- any other liability that cannot be excluded under UK law.
#14.4 No liability for consequential losses
We are not liable for loss of profit, loss of business, loss of goodwill, loss of anticipated savings, or any indirect or consequential loss.
#15. Indemnity
You will indemnify Helpsome Limited against claims arising from pricing data you publish being inaccurate, misleading, or unlawful, or from your breach of the Acceptable Use Policy.
#16. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with them, subject to any non-waivable consumer rights.
#17. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy, Acceptable Use Policy, Fair-Use Policy, Cookie Policy, Sub-processors page, and (where applicable) DPA, form the entire agreement between you and us about the Service.
- No waiver. If we do not enforce a right, that does not mean we have waived it.
- Severability. If any clause is found unenforceable, the rest stays in effect.
- Assignment. You cannot assign these Terms without our written consent. We can assign them to a successor to our business.
- Notices. Notices to us should go to hello@helpsome.ai. Notices to you will go to the email on your account.
